Seller Terms (Vendor Agreement)
These Seller Terms (“Seller Terms”) apply to Users who list items for sale on Intergeo Shop. They supplement the General Terms of Service.
Seller Obligations
- Eligibility: You must be legally able to sell the item and have the right to transfer ownership. You must be a professional or private seller with the necessary licenses and tax registrations.
- Listing Accuracy: You are responsible for ensuring that your listings are truthful and accurate. You must disclose all relevant details and defects. Intergeo Shop may suggest a price but you decide the listing price. During an active transaction, the price is locked until the process completes, consistent with Intergeo Shop practice that sellers can lock prices while purchases are processed.
- Prohibited Goods: You may not list items that are counterfeit, stolen, non‑functional without disclosure, subject to export restrictions, hazardous or prohibited under EU or local law. The Company may remove such listings.
- Anonymity: You agree to allow Intergeo Shop to modify your listing to remove personal data (names, addresses, serial numbers, etc.) for privacy and security. All communication with potential buyers must occur through the Intergeo Shop platform; direct contact is prohibited.
- Shipping to Quality Control: When notified that a buyer has placed an order, you must ship the item to Intergeo Shop’s designated inspection facility within the timeframe specified (typically within 5 business days). The item must be packaged securely and shipped using tracked methods.
Appointment of Commissionaire
You hereby appoint Intergeo Shop as your commissionaire to act in its own name but on your behalf for the sale of your items. This appointment authorises the Company to:
- accept orders from buyers and conclude sales contracts under the suspensive condition of quality control;
- receive payment from buyers on your behalf and hold funds until the conditions of sale are satisfied;
- manage logistics, quality inspection and certification of the items; and
- transfer the item to the buyer once the conditions are fulfilled.
This commissionaire relationship is permitted under Article 28 of the EU VAT Directive (2006/112/EC) and means that two supplies are deemed to occur (seller → commissionaire → buyer) for VAT purposes.
Quality Control and Inspection
- Process: After a buyer places an order and pays, the item undergoes quality control at an authorised workshop. Only the certification from our authorised centre determines whether the product meets the description. This mirrors Intergeo Shop process where certification determines product quality and shipping.
- Outcome:

- Certified: If the item passes inspection, Intergeo Shop ships it to the buyer. The seller bears the initial shipping costs to the inspection centre. The buyer covers subsequent shipping costs.
- Not Certified: If the item fails inspection, the seller may (i) authorise repair at their expense (with buyer covering shipping after repair) or (ii) decline repair. If repair is declined, the seller must pay all shipping fees for returning the item; the buyer will be refunded in full.
- Certified: If the item passes inspection, Intergeo Shop ships it to the buyer. The seller bears the initial shipping costs to the inspection centre. The buyer covers subsequent shipping costs.
Payment to Seller
Once the buyer receives the item and does not raise a valid claim within 72 hours (the “Inspection Period”), Intergeo Shop will release payment to the seller less the applicable commission and fees. Payments are made via an approved payout provider (e.g. Stripe, PayPal Hyperwallet) to the bank account specified in your seller profile. If the buyer opens a dispute within the Inspection Period, payment is held pending resolution. You authorise Intergeo Shop to deduct any amounts owed to it (e.g. service fees, costs of dispute resolution) from your proceeds.
Indemnity and Liability
You represent and warrant that your items are free of encumbrances and that you have the right to sell them. You agree to indemnify Intergeo Shop against claims arising from (i) your breach of these Seller Terms, (ii) the condition or authenticity of your items, and (iii) infringement of intellectual property rights. Intergeo Shop’s liability to you is limited as described in the general Terms.
Termination
Intergeo Shop may suspend or terminate your account if you breach these Seller Terms or applicable law. Upon termination, pending transactions will be cancelled or completed at our discretion.
