Intergeo Shop – Legal Documentation Package (Commissionaire Model)
Introduction
Intergeo Shop is an online marketplace operated by INTERLINK DYNAMICS, SOCIEDADE UNIPESSOAL LDA (“Intergeo Shop”, “Company”, “we”, “us”). The platform allows registered users to buy and sell new and pre‑owned geodetic equipment. To protect all participants and to comply with EU law (particularly the Digital Services Act, GDPR and VAT Directive), Intergeo Shop adopts a commissionaire model: the Company acts as an intermediary between buyers and sellers, receives payment on behalf of sellers, manages quality control and logistics, and releases funds to sellers only after the item is accepted by the buyer. Buyers and sellers do not see each other’s identities, addresses or contact details; all communication occurs through the platform.
This package contains the key legal documents necessary for the operation of Intergeo Shop under this model. The documents complement each other and should be read as a whole. In case of conflict between versions, the English version prevails.
Terms of Service (General User Agreement)
Acceptance
By accessing or using www.intergeo.shop (the “Website”), you agree to comply with and be bound by these Terms of Service (“Terms”). If you do not agree with these Terms, do not access or use the Website. The Terms apply to all visitors and registered users (collectively, “Users”). To register, you must be at least 18 years old and legally capable of entering into binding contracts on your own behalf or on behalf of a company.
Role of the Platform
Intergeo Shop operates an online marketplace connecting sellers (Users who list geodetic equipment for sale) and buyers (Users who wish to purchase such equipment). The Company acts as an intermediary on behalf of sellers. While it manages the entire logistics and quality‑control process, it is not a party to the sales contract, except where expressly indicated (see Vendor Terms). All instruments sold through the marketplace remain the property of the seller until the buyer’s payment is accepted and the product passes quality control, consistent with Intergeo Shop practice of managing logistics, inspection and certification.
Use of the Marketplace
- Registration: To buy or sell items you must create an account and provide accurate information. You may not transfer your account or share your login credentials. Multiple accounts per individual or entity are prohibited without our written consent.
- Anonymity and Communication: For the protection of all Users, you may not reveal identifying information about yourself or others, including addresses, phone numbers, email addresses or company names. All interactions between buyers and sellers must occur through Intergeo Shop’s messaging system; no direct contact is permitted. This mirrors Intergeo Shop anonymity requirement where users must remain anonymous and transactions are facilitated by the platform.
- Prohibited Content: You may not post any content that violates intellectual property rights, personal data protection, export‑control regulations or that is harmful, abusive, misleading or illegal. The Company reserves the right to remove or modify any listing to ensure accuracy and to remove sensitive seller information.
- Compliance: You agree to comply with all applicable laws and regulations, including export control, dual‑use restrictions and sanctions regimes.
Service Fees
Intergeo Shop charges service fees to buyers and sellers. Fees for sellers include a commission calculated on the final selling price and any applicable payment processing or logistics fees. Buyers may be charged service and delivery fees displayed at checkout. Fees are non‑refundable unless otherwise stated in the Return Policy.
Limitation of Liability
Intergeo Shop provides the platform “as‑is” and makes no warranties regarding the quality, safety, authenticity or legality of items listed by sellers. To the extent allowed by law, the Company disclaims all liability for indirect or consequential damages and limits its total liability to the higher of EUR 100 or the total fees paid to Intergeo Shop in the preceding twelve months. Nothing in these Terms limits liability that cannot be limited under applicable law.
Governing Law and Dispute Resolution
These Terms are governed by Portuguese law. Any disputes arising from or relating to these Terms shall be resolved by the courts of Lisbon, Portugal, unless mandatory consumer protection regulations specify otherwise.
Amendments
Intergeo Shop may amend these Terms from time to time. Material changes will be notified via email or on the Website. Your continued use of the Website after the effective date of the revised Terms constitutes acceptance of the changes.
Miscellaneous Policies
Intellectual Property
Intergeo Shop owns all intellectual property rights in the Website, including trademarks, logos and software. Users may not use our IP without written permission. Listings remain the property of the seller, but you grant Intergeo Shop a non‑exclusive, worldwide licence to reproduce and adapt your listing content for the purpose of operating the platform (e.g. for social media, communication and marketing).
Export Control and Sanctions
Sellers must ensure that items comply with export control and sanctions regimes. Intergeo Shop reserves the right to refuse to handle items subject to export prohibitions and may require additional documentation.
Changes to Services
We may modify or discontinue the platform or its features at any time. We will attempt to notify affected Users of significant changes.
Severability
If any provision of these documents is found invalid or unenforceable, it shall be replaced by a valid provision that reflects the original intent as closely as possible. The remaining provisions remain in force.
